1. Acceptance of These Terms

These Terms of Service ("Terms") govern your use of Verney, a mobile application provided by [COMPANY LEGAL NAME] ("Verney," "we," "us," or "our"), a company registered in Romania (registration number [COMPANY REGISTRATION NUMBER]; VAT ID [VAT ID]) with its registered office at [REGISTERED ADDRESS]. By creating an account or using Verney, you agree to these Terms. If you do not agree, please do not use Verney.

Our separate Privacy Policy explains how we collect, use, and protect your personal data, and forms part of your agreement with us alongside these Terms.

When you create an account, you'll be asked to confirm that you are 18 or older and to acknowledge these Terms and our Privacy Policy, with direct links to both. This acknowledgment is separate from, and does not substitute for, the explicit consent described in Section 5 below, which is requested afterward, through its own dedicated screen.

2. Eligibility

You must be 18 years of age or older to create a Verney account or use Verney. By creating an account, you confirm that you meet this requirement. Verney is intended for individual, personal use — one account per person.

3. What Verney Is, and What It Isn't

Verney is a conversational thinking partner focused on helping you understand, reflect on, and navigate your interpersonal relationships. It remembers context across conversations, offers observations and, where genuinely warranted, recommendations, and is built to reason carefully rather than simply agree with you.

Verney is not:

  • A therapist, counselor, or clinical or medical service of any kind. Verney does not diagnose, treat, or provide mental health care. If you are experiencing a mental health crisis, please contact a licensed professional or your local emergency services.
  • An emergency or crisis service. Verney may, where appropriate, encourage you to reach out to real support — a trusted person, a professional, or emergency services — but it does not itself provide emergency assistance, and you should never rely on it for one. If you or someone else is in immediate danger, contact your local emergency number directly.
  • Professional legal, financial, or medical advice. Nothing Verney says should be treated as professional advice in any regulated field.
  • A decision-maker on your behalf. Verney is designed to support your own thinking and judgment, not to make decisions for you or guarantee any particular real-world outcome.
  • A general-purpose assistant. Verney is deliberately focused on relationship-related conversation, not a substitute for general productivity, research, or personal-assistant tools.

Verney is powered by artificial intelligence and large language models. Like any AI system, it can be wrong, incomplete, or reflect a misunderstanding of what you've told it. Use your own judgment, and treat Verney's observations and recommendations as input to your own thinking, not as settled fact.

4. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Please notify us promptly at [email protected] if you believe your account has been compromised. You agree to provide a valid email address and to keep your account information accurate.

5. Sensitive Information and Your Consent

Because conversation with Verney is open-ended, you may choose to share sensitive personal information — for example about your health, your sex life or sexual orientation, your racial or ethnic origin, your political opinions, or your religious or philosophical beliefs, or other information GDPR treats as a "special category" of personal data. This list is illustrative, not exhaustive. Processing this kind of information requires your separate, explicit consent, obtained through a dedicated screen before you can begin using Verney — agreeing to these Terms does not, by itself, constitute that consent.

The full detail of what this covers, how this information is used, and how you can withdraw your consent (and what happens when you do) is set out in our Privacy Policy, Section 5, which you should read before continuing.

6. Plans, Subscriptions, and Billing

6.1 Plans

Verney is offered on three plans, each granting a monthly allowance of conversational "turns" (one turn = one message you send and one reply from Verney) that resets each billing period:

  • Free — €0/month, 30 turns/month.
  • Standard — €5.99/month, 650 turns/month.
  • Pro — €14.99/month, 3,000 turns/month.

Once you reach your plan's monthly turn allowance, Verney will not process further messages until your allowance resets or you upgrade. Plan pricing, allowances, and features may change; we will give you reasonable notice of any change that affects a plan you are actively subscribed to.

6.2 Purchases, Renewal, Cancellation, and Refunds

Paid subscriptions are purchased and billed through the Apple App Store or Google Play. Your subscription, its billing, and its automatic renewal are administered by whichever store you subscribed through, not by us directly — we do not process your payment or hold your payment details. To manage or cancel your subscription, use your App Store or Google Play account settings. Nothing in this section limits any statutory right — including any right of withdrawal, refund, or termination — that applies to your purchase under mandatory consumer-protection law and cannot be excluded by a store's own terms; where such a right applies, contact Apple or Google support to exercise it, since they hold your payment and purchase records.

Deleting your Verney account does not cancel an active subscription. Your subscription is billed and managed entirely by the App Store or Google Play, independently of your Verney account, so deleting your account does not stop future billing. If you want to stop being charged, you must separately cancel your subscription through your App Store or Google Play account settings, either before or after deleting your Verney account.

7. Acceptable Use

You agree not to:

  • Use Verney for any unlawful purpose, or in a way that violates the rights of others.
  • Attempt to circumvent, disable, or interfere with any security, safety, or rate-limiting feature of Verney.
  • Use automated means (bots, scripts) to access Verney outside of the app itself, or to send an abnormally high volume of requests in a short period.
  • Attempt to reverse-engineer, extract, or replicate Verney's underlying models, prompts, or systems.
  • Impersonate another person, or create an account on behalf of someone else without their knowledge and consent.
  • Use Verney to harass, threaten, or endanger another person.

8. Content and Intellectual Property

Verney, including its app, branding, design, and underlying technology, is owned by us and protected by intellectual property law. These Terms do not grant you any right to our intellectual property beyond the limited right to use the app as intended.

You retain ownership of what you say to Verney. By using Verney, you grant us the rights necessary to process, store, and use that content to provide and maintain the service — including sending it to the AI providers described in our Privacy Policy — for as long as described there.

9. Service Availability and Changes

We aim to keep Verney available and reliable, but we do not guarantee uninterrupted or error-free service. We may modify, update, suspend, or discontinue features of Verney, in whole or in part, at any time. Where reasonably possible, we will give you advance notice of a change that materially reduces the service you've paid for.

10. Disclaimers

Verney is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, regarding Verney's accuracy, reliability, or fitness for a particular purpose. Verney's observations, assessments, and recommendations are generated by AI and reflect probabilistic reasoning over what you've shared — they are not guarantees of fact, outcome, or advice from a qualified professional. Nothing in this section limits any warranty or guarantee that cannot lawfully be excluded under applicable consumer protection law.

11. Limitation of Liability

To the fullest extent permitted by law, [COMPANY LEGAL NAME] will not be liable for any indirect, incidental, or consequential damages arising from your use of Verney, or for decisions you make based on a conversation with Verney. This limitation does not apply to liability that cannot lawfully be limited or excluded, such as liability for death or personal injury caused by our negligence, or for fraud or willful misconduct, and it does not affect any statutory rights you have as a consumer that cannot be waived by contract.

12. Termination

We may terminate your account if you violate these Terms, including the Acceptable Use section above, or if we reasonably believe your account poses a risk to Verney, other users, or ourselves. Termination means permanent deletion of your account and its data, the same as the self-service deletion described below — we do not currently offer a temporary suspension, so any enforcement action we take is termination, not a reversible restriction. Where practical, we will make reasonable efforts to notify you first.

You may stop using Verney, or permanently delete your account and all associated data, at any time, directly in the app under Settings → Delete Account. This action is immediate and irreversible.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of Romania, and any dispute arising from these Terms or your use of Verney is subject to the jurisdiction of the Romanian courts. If you are a consumer resident in another EU/EEA country, this choice of law and forum does not deprive you of the protection of any mandatory consumer-protection provisions of the law of your own country of residence, and you retain the right to bring proceedings in your own country's courts where applicable law entitles you to do so.

14. Changes to These Terms

We may update these Terms from time to time, for example as Verney's features evolve or as required by law. If we make material changes, we will provide reasonable notice before they take effect, using an appropriate means available to us at the time (such as within the app or by email). Except where applicable law requires your affirmative acceptance of a change — in which case we will seek that acceptance separately, and the change will not take effect for you until you provide it — continued use of Verney after a change takes effect constitutes acceptance of the updated Terms.
